DESERT ESSENCE #SENSITIVITYISMYSUPERPOWER RETAILER PROMOTION

OFFICIAL RULES:

By entering this Promotion, entrants accept and agree to be bound by these Official Rules. Any violation of these rules may, at Administrator's and/or Sponsor’s discretion, result in disqualification.

1. ELIGIBILITY: The Desert Essence #SensitivityIsMySuperpower Retailer Promotion (the “Promotion”) is open only to individuals eighteen (18) years of age or older as of the date of entry and who are legal residents of the forty-eight (48) contiguous United States and the District of Columbia and are employed by a retail store that sells Desert Essence Oral Care products, and is responsible for placing orders with the Sponsor. (“Eligible Entrants”). By entering, Eligible Entrants confirm and acknowledge that participation in this Promotion does not violate retailer, store or employment policies.  Employees of Country Life Vitamins, LLC (the “Sponsor”), The Promotion Pipeline, Inc. (“Agency”) (herein collectively “Promotion Entities”), their affiliates, officers, subsidiaries, advertising and promotion agencies, distributors, and suppliers, are not eligible.  All federal, state, local and municipal laws and regulations apply. By participating in this Promotion, entrant agrees to be bound by these Official Rules and that the decisions of Sponsor shall be final and binding in all matters pertaining to the Promotion, including, but not limited to, interpretation and application of these Official Rules. This promotion is void where prohibited. 

2. PROMOTION PERIOD: Promotion begins 12:00:01 AM EST on August 1, 2026, and ends on 11:59:59 pm EST December 31, 2026 (“Promotion Period”). 

3. PROMOTION DESCRIPTION: The Promotion provides Eligible Entrants with the opportunity earn Promotion points (“Entry Points”) by increasing distribution of new Desert Essence Sensitive + Whitening Toothpaste and Mouthwash during the Promotion Period.  Eligible Entrants will have four ways to earn Entry Points with each point representing an entry into the prize drawing (“Eligible Entries”):

Eligible Entrants will receive the designated number of Entry Points for each door which meets the requirements.  (For example, if a retailer has 5 locations, ie doors, which meet point requirements, that Eligible Entrant will receive Entry Points for 5 doors.  If a retailer has 5 locations, but only 3 meet point requirements that Eligible Entrant will receive the Entry Points for 3 doors.)  Maximum of 24 Entry Points per door.

4. HOW TO ENTER: During the Promotion Period, Eligible Entrants will place orders for new Sensitive + Whitening Toothpaste and Mouthwash with their designed sales representative with the Sponsor. Sponsor will track Entry Points by door for all participating retailers based on the point system designated in the Promotion Description. Each Entry Point will represent one Eligible Entry into the prize drawing.  Eligible Entrants will be required to submit photos of all Toothpaste Floor Displays and New Sensitive + Whitening Toothpaste AND Mouthwash Endcaps in order to receive their points.

Entrants agree to be bound by and acknowledge compliance with these Official Rules including eligibility requirements.  Sponsor may at its sole discretion disqualify anyone who violates the Official Rules or undermines the integrity of the Promotion via any form of manipulation.

5. WINNER SELECTION: Winners will be selected in a random drawing approximately on or about January 4, 2027, from all Eligible Entries received. The drawing will be conducted by the Sponsor, whose decisions are final on all matters relating to the Promotion.  First Prize Winner will be selected only from Entrants who receive Eligible Entries for participating in the Toothpaste Floor Display and October end cap (#3 and #4 in the Promotion Description). Second and Third Prize Winners will be selected from all Eligible Entries. Winners will be notified by phone, email and/or mail and will be required to complete and return an Affidavit of Eligibility/Release of Liability or Prize Notification Letter which must be signed and received by Sponsor or its designated agent within 14 days of date printed on notification or the prize is forfeited and an alternate winner will be selected in a random drawing. If any prize notification letter or any prize is returned as undeliverable, the prize will be awarded to an alternate winner selected in a random drawing. Only one prize per Eligible Entrant.  Selected prize winners may assign their prize to another employee in their retail organization.  In the event a prize winner assigns their prize to someone else, both the winner and the prize recipient will be required to complete and return an Affidavit of Eligibility/Release of Liability or Prize Notification Letter which must be signed and received by Sponsor or its designated agent within 14 days of date printed on notification or the prize is forfeited and an alternate winner will be selected in a random drawing.

6. PRIZES: One (1) First Prize: a three (3) day/ two (2) night trip to the luxury resort spa of the Sponsor’s choice for the winner and a guest.  First Prize trip includes round-trip coach class airfare for two (2) from major commercial airport nearest winner’s residence to the destination city, two (2) nights hotel accommodations, meals and spa treatments and round-trip ground transportation between the airport and the spa in the destination city. Maximum Retail Value ("ARV") of Grand Prize: $7,000.00.  TWO (2) Second Prizes: $250 gift card.  Two (2) Third Prize: $100 gift card. Total ARV all Prizes: $7,700.00.  Each Winner or prize recipient agrees to accept the prize “as is.” First Prize trip must be completed by December 15, 2027, or the prize is forfeited.  If the closest airport to the First Prize winner/ recipient’s home is in close enough proximity to the destination so that, as Sponsor may determine in its sole discretion, a flight is unnecessary, First Prize winner/ recipient will receive alternate transportation from the Sponsor with no further obligation to the First Prize winner/ recipient for any difference in prize value.  Actual value of a trip depends on First Prize winner/ recipient’s residence or departure city and travel dates, along with spa selection.  First Prize winner/ recipient’s travel companion must be 18 years or older and will be required to execute a Liability/ Publicity release and return it at the same time as the First Prize winner/ recipient’s affidavit.  First Prize winner/ recipient and travel companion must have all necessary identification and/or travel documents required for air travel. First Prize winner/ recipient and travel companion must travel on the same itinerary. First Prize winner/ recipient and travel companion may be required to complete separate forms for the luxury resort spa which may include, but is not limited to a Liability Release and/ or medical history.  No substitutions for Prizes except by Sponsor or as may be necessary due to unavailability, in which case prize of equal or greater value will be awarded.  Prizes are not transferable except for assignment to another eligible employee of the retail organization or redeemable for cash.  All taxes and other expenses not specified herein are the sole responsibility of the prize winners/recipients. Sponsor responsible only for prize delivery; not responsible for prize utility, quality or otherwise.

7. ODDS: Odds of winning a prize depend upon the number of eligible entries received. All prizes claimed will be awarded. No more than the advertised number of prizes will be awarded. 

8. PRIZE CONDITIONS: Agency will furnish an Internal Revenue Service Form 1099 to the winners/recipients for the actual retail value of Grand Prize for the tax year in which Prize was accepted for all prizes valued at $600.00 or greater. Recipients are responsible for all federal, state, and local taxes (including income and withholding taxes) and all other costs associated with Prize acceptance and use not specified herein as being provided. 

9. GENERAL: This Promotion offer is void where prohibited or restricted by law and is subject to applicable federal, state, local and municipal laws and regulations. Sponsor and judges shall not be responsible for late, lost, stolen, damaged, incorrect, incomplete, illegible, garbled, misaddressed, postage due or misdirected entries, misrouted or scrambled transmissions or communications, or for errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of telephone, Internet, computer hardware, software, communications devices, or transmission lines, or data corruption, theft, destruction, loss, unauthorized access to or alteration of entry materials, or otherwise.  Sponsor disclaims, and entrant releases and holds Sponsor harmless from, any liability for damage to any telephone or computer system resulting from participation in, or accessing or downloading information in connection with, this Promotion, and Sponsor reserves the right, at its sole discretion, to modify, cancel, terminate or suspend this Promotion should any virus, bug, technical failures, unauthorized human intervention or other causes beyond Sponsor’s control corrupt or affect the administration, security, fairness or proper conduct of the Promotion. In the event of any cancellation, termination or suspension, a notice will be posted, and, at Sponsor’s sole discretion, a random drawing will be held from among all eligible entries received prior to such time. Sponsor reserves the right, at its sole discretion, to disqualify any entrant if his or her fraud or misconduct affects the integrity of the Promotion. For the avoidance of doubt, Sponsor's failure or delay to enforce any of these official rules will not constitute a waiver thereof. If any provision of the official rules is or becomes invalid, illegal, or unenforceable, or is held invalid, illegal, or unenforceable by any court of competent jurisdiction, the other provisions shall not be affected thereby and will remain in full force and effect. By participating in this Promotion, each entrant and winner accepts the conditions stated in these official rules, agrees to be bound by the decisions of the judges and warrants that s/he is eligible to participate in this Promotion. By submitting an entry in the Promotion, each entrant acknowledges and agrees that Sponsor shall be permitted to use entry data for marketing purposes consistent with Sponsor’s privacy policies (available at https://countrylifevitamins.com/policies/privacy-policy ) as may be updated from time to time by Sponsor and applicable law. All entrants further agree that in the event of any third-party claims, damages, losses or injuries (“Claims”), arising from or relating to entrant’s participation in this Promotion, the entrant will indemnify, defend, and hold harmless Promotion Entities and their agencies from any and all such Claims, including, without limitation, the attorneys' fees related thereto. Entrants further release and agree to indemnify, defend, and hold harmless Promotion Entities, their agencies and their respective officers, directors, shareholders, members, employees, representatives and agents from any and all liability, claims, actions, loss, harm, damage, injury, cost or expense whatsoever, arising from or relating to, by way of example and not limitation: (a) property damage, personal injury and/or death which may be sustained in connection with this Promotion; (b) the receipt, ownership, use or misuse of any prize awarded; (b) participation in any Promotion-related activity, including, without limitation, travel; (c) any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action; (d) any typographical or other error in these official rules or any other materials disseminated by Sponsor or Agencies; and (e) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with any equipment, systems, networks, lines, satellites, servers, computers, or providers used by an entrant or Sponsor or Agency.

10. CAUTION: ANY ATTEMPT BY AN ENTRANT TO DELIBERATELY DAMAGE ANY WEB SITE, MANIPULATE OR UNDERMINE THE LEGITIMATE OPERATIONS OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW. 

11. DISPUTES, GOVERNING LAW AND VENUE: ENTRANT AGREES THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROMOTION OR ANY PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK WITHOUT REGARD TO PRINCIPLES OF CONFICTS OF LAW; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS PROMOTION, IF ANY, BUT IN NO EVENT WILL ENTRANT BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
